The firm offers comprehensive representation to buyers, sellers and investors, from contract to closing, in connection with the purchase and sale of every type of real property asset including multi-family, office, industrial, retail, and independent and assisted living properties.  Our extensive experience in this area includes drafting, reviewing and negotiating complex purchase and sale agreements, reciprocal easement agreements, license agreements, development agreements, property management agreements, and utility easements, and the review of intricate title and survey matters. We also draw upon our significant financing experience in assisting buyers with the debt and equity financing aspects of their acquisitions by drafting, reviewing and negotiating complex loan documents, joint venture operating agreements, and tenants-in-common agreements.


We represent local, regional and national financial institutions, including banks and private lenders, from loan commitment to closing, in various types of commercial real estate loan transactions, including construction loans and permanent financing, secured by every type of property including multi-family, office, industrial, shopping centers, warehouses, and vacant land.  We also represent lenders in all aspects of the workout of troubled and failed complex commercial real estate loans and have extensive experience with mortgage foreclosures, workout negotiations, loan restructurings and modifications, deeds in lieu of foreclosure, and lender liability litigation.


We regularly represent landlords, tenants and property managers in a wide variety of commercial leasing transactions, including office lease, ground lease and large-scale retail lease transactions, as well as triple-net, sale-leaseback, operating lease, master lease, sublease and other structured leasing transactions.  Our attorneys routinely draft, review and negotiate, commercial leases, subleases, estoppel certificates, and subordination agreements. 

Loan Sales

We regularly represent sellers, buyers, lenders and investors on acquisitions, financings, and dispositions of nonperforming loans secured by commercial and residential real estate properties by drafting, reviewing and negotiating loan sale agreements and deed-in-lieu of foreclosure agreements, and conducting legal due diligence of the loan file.  We provide one-stop shopping by combining our broad transactional and foreclosure capabilities to advise loan purchasers on the legal risks of distressed loans and providing representation from contract through foreclosure.
